Proposed amendments to the Association’s Bylaws were last amended April 16, 2026.
This new amendment, Articles 7, 9 and 11 has been reviewed and recommended by the Association’s Executive Board at their August 11, 2026 meeting.
Treasurer and Financial Secretary Consolidation:
Why Is This Amendment Needed?
The current bylaws establish separate Treasurer and Financial Secretary positions. Over time, the responsibilities of these positions have developed significant overlap. The Board believes consolidating the two roles will create clearer accountability and a more efficient financial management structure for the Association.
What Is Changing?
The amendment will:
- Consolidate the Treasurer and Financial Secretary into one Treasurer position.
- Establish the Treasurer as the Association’s primary financial officer and point of accountability.
- Clarify the Treasurer’s responsibility for financial oversight, reporting, budgeting, banking relationships, compliance, and financial vendors.
- Allow the Association to engage a bookkeeper to handle routine, day-to-day bookkeeping and administrative functions under the Treasurer’s oversight.
- Maintain appropriate separation between financial oversight and routine financial processing.
What Is Not Changing?
The amendment does not reduce Board oversight or financial controls. The Board will continue to approve budgets, authorize expenditures as required, and oversee the Association’s financial affairs.
The Treasurer will remain accountable to the Board for the Association’s financial condition and reporting.
Why This Structure?
The proposed structure provides a clearer division of responsibilities:
Board of Directors
→ Governance, policy, budget approval, and financial oversight
Treasurer
→ Financial leadership, oversight, reporting, compliance, and accountability
Bookkeeper
→ Routine bookkeeping and day-to-day financial administration
This structure reduces duplication, strengthens accountability, and provides greater continuity as volunteer leadership changes.
Bylaws vs. Job Description
The amendment establishes the Treasurer’s authority and core responsibilities in the bylaws. Operational procedures and specific administrative duties will be maintained in the Treasurer’s Job Description and Board-approved procedures. This allows the Association to adapt its financial processes as needs and technology evolve without requiring frequent bylaw amendments.

This amendment is intended to modernize and strengthen the Association’s financial governance by eliminating overlapping officer responsibilities, establishing clear accountability, and providing appropriate administrative support—while maintaining Board oversight of the Association’s finances.
